1. Scope
These Terms apply to all agreements between SEDM Distribuce s.r.o. and business customers (B2B).

2. Services
SEDM provides distribution, market development, consulting, operational support and related commercial services.

3. Pricing & Payment
All prices are net, excluding VAT and duties.
Unless otherwise agreed, payment is due within 14 days.

4. Delivery & Risk
Delivery terms follow the agreed Incoterms (e.g., EXW, FOB, DDP).
Risk transfers according to the respective Incoterm.

5. Warranty
Standard B2B warranty applies.
SEDM does not guarantee specific sales results or market performance.

6. Liability
SEDM is liable only for intent and gross negligence.
Liability for indirect or consequential damages, including lost profits, is excluded.

7. Data Protection
Data is processed in accordance with GDPR and our Privacy Policy.

8. Jurisdiction & Governing Law
Jurisdiction: Prague, Czech Republic
Governing law: Czech Law (unless mandatory EU regulations apply)
